By accessing or using ValueTracker ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

We reserve the right to modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the modified Terms.

2. Description of Service

ValueTracker is a professional accomplishment tracking application that helps users:

• Document and organize professional achievements
• Analyze accomplishments using AI technology (Anthropic Claude)
• Generate performance review summaries
• Export and manage career documentation

3. User Accounts

3.1 Account Creation

To use the Service, you must:

• Be at least 18 years of age
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your password
• Notifying us immediately of any unauthorized access
• All activities that occur under your account

4. Acceptable Use

4.1 Permitted Use

You may use the Service for lawful professional documentation purposes.

4.2 Prohibited Activities

You agree NOT to:

• Violate any laws or regulations
• Infringe on intellectual property rights of others
• Upload malicious code or viruses

5. User Content

You retain all ownership rights to the accomplishments and data you submit ("User Content"). By using the Service, you grant us a limited license to:

• Store and display your User Content within the Service
• Process your User Content through AI services for analysis
• Create backups of your User Content
• Use anonymized, aggregated data for service improvement

5.2 Content Responsibility

You are solely responsible for:

• The accuracy and legality of your User Content
• Ensuring you have rights to share the information
• Compliance with your employer's confidentiality agreements
• Not sharing proprietary or confidential information without authorization

6. AI Services and Third-Party Processors

When you use AI-enhancement features, your content is processed by Anthropic Claude AI. By using these features, you acknowledge that:

• Your content will be sent to Anthropic's servers for processing
• Anthropic's terms and privacy policy apply to their processing
• AI-generated suggestions may not always be accurate
• You are responsible for reviewing and validating AI output
• We are not liable for errors in AI-generated content

7. Subscription and Payment

7.1 Free Tier

We offer a free tier with limited features. We reserve the right to modify or discontinue the free tier at any time with reasonable notice.

7.2 Paid Subscriptions

Paid plans are billed in advance on a monthly or annual basis. By subscribing, you agree that:

• Subscriptions automatically renew unless canceled
• You authorize us to charge your payment method
• Prices may change with 30 days notice to active subscribers
• No refunds for partial months, except as required by law

7.3 Cancellation

You may cancel your subscription at any time. Access continues until the end of the billing period. No refunds for unused time.

8. Intellectual Property

The Service, including its code, design, logos, and content (excluding User Content), is owned by ValueTracker and protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Service without express written permission.

9. Disclaimers and Limitations

9.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9.2 No Guarantee

We do not guarantee that:

• The Service will be uninterrupted or error-free
• AI analysis will be accurate or complete
• Using the Service will result in salary increases or career advancement
• The Service will meet your specific requirements

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VALUETRACKER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR $100, WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify and hold harmless ValueTracker from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your User Content
• Your violation of these Terms
• Your violation of any rights of another party

12. Termination

We reserve the right to suspend or terminate your account at any time for:

• Violation of these Terms
• Fraudulent or illegal activity
• Extended periods of inactivity
• Request by law enforcement or legal order

Upon termination, you may request an export of your data within 30 days. After 30 days, we may delete your data.

13. Dispute Resolution

13.1 Informal Resolution

Before filing a claim, you agree to contact us at legal@valuetracker.app to attempt informal resolution.

13.2 Arbitration

Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (or equivalent in your jurisdiction).

13.3 Class Action Waiver

You agree to resolve disputes individually and waive the right to participate in class actions, except where prohibited by law.

14. General Provisions

14.1 Entire Agreement

These Terms constitute the entire agreement between you and ValueTracker regarding the Service.

14.2 Severability

If any provision is found unenforceable, the remaining provisions continue in full force.

14.3 No Waiver

Failure to enforce any right does not waive our right to enforce it later.

14.4 Assignment

You may not assign these Terms. We may assign them to an affiliate or in connection with a merger or sale.
